Acquisition and disposition of assets ST/2013/0640 October 16th, 2013 Subject: The Information of an acquisition and disposition of assets To: The President The Stock Exchange of Thailand Sino-Thai Engineering and Construction Public Company Limited would like to inform the details of an acquisition and disposition of assets as follows: 1.Transactions Date : October 15th, 2013 2.Contract Party : Krungthai Bank 3.General Transaction : Lands acquisition totaling 3 plots by purchasing and transferring at Department of Lands, Bangbuathong branch 4.Asset Acquiring Details : Land title deed number 5973, 2367, and 36020 are located at Sai-yai sub-district, Sai-noi (Bangbuatong) District, Nonthaburi Province, totaling 3 land title deeds with the area157 rai, 3 ngan, and 26 square meters without buildings. 5.Total Value of Consideration : Land value is amounting to THB160,000,000 (One Hundred Sixty Million Baht Only) where its payment has done as followed; - First 10 percent payment is amounting to THB16,000,000 (Sixteen Million Baht Only) by October 4th, 2013, - Second payment is amounting to THB 144,000,000 (One Hundred Forty Four Million Baht Only) by October 15th, 2013 - the transaction date, price of the land is evaluated in accordance with the market price. 6. Source of fund : Working Capital 7. Benefit :The Company purchased lands to build a new concrete foundry in order to support other construction works which increase continuously, reduce transportation costs and found a Training Center for company's employees in the future. 8. Calculation Method : Asset value (160 Mil.Bht.) divided by Total asset of the company Only, as of 30th June 2013 (21,841 Mil.Bht.), the transaction is 0.73. 9. The company's management committees approved these above transaction in the meeting dated 18th September 2013. 10. These transactions are not relevant to criterion of The Stock Exchange of Thailand according to the Disclosure of Information and Acts of Listed Companies Concerning an acquisition and disposition of assets 2004 and the Disclosure of Information and Acts of Listed Companies Concerning the Connected Transaction 2003 due to the fact that the contract party is not related to Listed Company or Subsidiary Company.
